1. Acceptance of Terms

By downloading, installing, accessing, or using Note It (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and Transcend Technologies, Inc. DBA iSocialize ("Company," "we," "us," or "our").

2. Description of Service

Note It is a digital note-taking and productivity application that allows users to create, organize, and manage sticky notes, boards, and calendar events. The App is provided as a free service. We reserve the right to modify, suspend, or discontinue the App or any part thereof at any time without prior notice.

3. Eligibility

You must be at least 16 years of age to use the App. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that you meet the minimum age requirement and have the right, authority, and capacity to enter into these Terms.

4. User Accounts

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. User Content

You retain all ownership rights in any content you create, upload, or store through the App ("User Content"). By using the App, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide and improve the App. You are solely responsible for your User Content and represent that you have all necessary rights to such content.

6. Prohibited Uses

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the App's infrastructure or other users' enjoyment
• Attempt to gain unauthorized access to the App's systems or networks
• Reverse engineer, decompile, or disassemble any portion of the App
• Use the App to transmit malicious code, spam, or harmful content
• Impersonate any person or entity or misrepresent your affiliation

7. Apple App Store Terms

If you access the App through the Apple App Store, the following additional terms apply:

• These Terms are between you and Transcend Technologies, Inc. DBA iSocialize only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.
• Apple has no obligation to provide any maintenance or support services for the App.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of any such claim.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
• You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSCEND TECHNOLOGIES, INC. DBA ISOCIALIZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE APP; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF THE APP; (D) ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE APP; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Transcend Technologies, Inc. DBA iSocialize and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your User Content, or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms within the App and updating the "Last updated" date. Your continued use of the App after such changes constitutes acceptance of the revised Terms.

13. Termination

We may terminate or suspend your account and access to the App at our sole discretion, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the App will immediately cease. Provisions that by their nature should survive termination shall survive.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
